1. Introduction

These Terms and Conditions govern the use of warehousing, storage, office rental and third-party logistics (3PL) services provided by Cohlee Storage and 3PL Services ("Cohlee", "we", "us", "our"), operating from Reliance MET City, Haryana, India. By engaging our services, you ("the Client") agree to be bound by these terms.

These terms apply to all services provided by Cohlee. Final pricing, service scope and specific conditions will be confirmed in writing at the time of booking.

2. Scope of Services

Cohlee provides the following services, subject to availability:

• Self-managed warehouse storage (22,000 sq ft covered area)
• Managed warehouse and 3PL fulfilment services
• Self managed warehouse (22,000 sq ft covered area)
• Secure open yard storage (from 10,000 sqft)
• Build-to-Suit warehouse development (up to 62,000 sqft)
• Fully furnished office space (from 1,000 sqft)
• 24-hour security and CCTV surveillance
• Daily cleaning and pest control
• Pallet storage, racking, shelving and storage bins
• Pump truck handling
• Door-to-door pickup and delivery
• Customs clearance support
• Import and export shipment handling
• Amazon Fulfilment Centre deliveries
• Value-added logistics services (packaging, barcoding, QC, photography, etc.)

All services are subject to availability and must be confirmed at the time of booking. Cohlee reserves the right to decline any service request at its discretion.

3. Warehouse Rental Terms

The factory and warehouse facility is available as the entire 22,000 sq ft covered area. Warehouse leasing starts from ₹25 per sqft per month. The final rate depends on the lease term and configuration. Rent includes 24×7 Security Guards and Basic Lighting.

The minimum lease term is 3 years with a 3-year lock-in period. Annual rental escalation of 5% applies. All pricing is confirmed in writing before commencement. Rates are subject to change with reasonable notice.

3A. Self Managed Warehouse Terms

The Self Managed Warehouse option provides the entire 22,000 sq ft ready-to-occupy factory and warehouse facility to a single occupier. Build-to-Suit warehouse development is available up to 62,000 sq ft for long-term lease commitments. The minimum lease term is 3 years with a 3-year lock-in period. The occupier shall be responsible for all operational expenses including but not limited to:

• Electricity charges
• Water charges
• Internet and telecom services
• Housekeeping
• Labour
• Material handling equipment
• Racking
• Shelving
• Forklifts
• Office equipment
• Insurance of goods
• Internal maintenance
• Operational expenses
• Statutory licences required for its business

The occupier shall maintain the warehouse in good condition during the tenancy period. Any internal alterations, modifications or additions to the warehouse structure or fittings require prior written approval from the owner. Commercial pricing for the Self Managed Warehouse is available on request and is subject to commercial discussions and lease tenure.

3B. Secure Open Yard Storage Terms

Secure open yard storage is available from 10,000 sqft up to 15,000 sqft. Rental starts from ₹10 per sqft per month. Lease periods are available from 11 months. Open yard storage is suitable for shipping containers, heavy machinery, construction materials, steel and structural materials, pipes, cable drums, industrial equipment, vehicles and project cargo.

The occupier is responsible for ensuring that all goods stored in the open yard are suitable for outdoor storage. Cohlee provides secure premises, 24×7 security and CCTV surveillance. The occupier is responsible for obtaining adequate insurance for all goods stored in the open yard.

4. Office Rental Terms

Fully furnished office units are available within the facility from ₹40 per sqft, subject to availability. Office rental terms, including duration and specific inclusions, will be agreed in writing at the time of booking.

5. Security and Facility Management

Cohlee provides 24-hour manned security and CCTV surveillance within the facility. While we take reasonable measures to maintain a secure environment, Cohlee does not guarantee against all loss, damage or theft. Clients are responsible for insuring their own goods (see Section 12).

Daily cleaning and pest control are provided as part of the facility management. Clients must not introduce goods that could compromise the hygiene or safety of the facility.

6. Racking, Pallet Storage and Equipment Use

Racking, shelving, storage bins and pallet storage are available within the facility. Use of these storage solutions is subject to availability and must be agreed at the time of booking. Clients must not overload racking or shelving beyond the stated weight limits.

7. Pump Truck Handling

An on-site pump truck is available for the movement of palletised goods within the facility. Use of the pump truck is subject to availability and must be requested in advance. Cohlee accepts no liability for damage to goods caused by the Client's improper packing or palletisation.

8. Pickup and Delivery Terms

Door-to-door pickup and delivery services are available subject to prior arrangement. Delivery timelines are estimates only and may be affected by factors outside Cohlee's control, including traffic, weather and third-party carrier delays. Cohlee will take reasonable care in handling goods during transit but accepts no liability for delays caused by third parties.

9. Customs Clearance and Import/Export Handling

Cohlee provides support with customs documentation and clearance procedures for import and export shipments. The Client is responsible for providing accurate and complete documentation. Cohlee accepts no liability for delays, fines or penalties arising from incorrect or incomplete documentation provided by the Client.

All import and export activities must comply with applicable Indian customs laws and regulations. Cohlee reserves the right to refuse handling of any shipment that it believes may be in violation of applicable law.

10. Amazon Fulfilment Centre Deliveries

Cohlee can prepare and deliver stock to Amazon Fulfilment Centres in accordance with Amazon's requirements. The Client is responsible for ensuring that their products comply with Amazon's packaging, labelling and preparation guidelines. Cohlee accepts no liability for rejections by Amazon FC arising from the Client's non-compliance with Amazon's requirements.

11. Ecommerce Services

Ecommerce packaging, barcoding, quality checks, printing and product photography services are available subject to prior arrangement and confirmation of scope. Quality checks are visual and physical inspections only; Cohlee does not provide technical testing or certification of goods.

12. Client Responsibilities

The Client agrees to:

• Provide accurate descriptions of all goods stored or handled
• Ensure goods are properly packed and labelled before delivery to the facility
• Comply with all applicable laws and regulations relating to their goods
• Obtain and maintain adequate insurance for their goods (see Section 13)
• Provide reasonable notice before vacating storage space (see Section 16)
• Pay all charges on time as agreed
• Not store prohibited or hazardous goods without prior written agreement

13. Prohibited Goods

The following goods shall not be accepted for storage or handling at the facility without prior written agreement and where permitted by applicable law:

• Firearms
• Ammunition
• Explosives
• LPG Cylinders (empty or filled)
• Petrol
• Diesel
• Flammable liquids
• Hazardous chemicals
• Toxic materials
• Narcotics
• Illegal drugs
• Radioactive materials
• Counterfeit goods
• Any goods prohibited by applicable law

The Owner reserves the right to refuse any goods that may pose a safety, legal or environmental risk. Cohlee reserves the right to refuse, remove or dispose of any prohibited goods at the Client's expense.

14. Insurance

The Occupier shall be responsible for obtaining and maintaining adequate insurance for all goods, inventory, machinery, equipment and any other property stored within the warehouse or open yard.

The Owner does not provide insurance for stored goods unless expressly agreed in writing. The Owner shall not be liable for any loss, damage or destruction of goods caused directly or indirectly by:

• Floods
• Earthquakes
• Storms
• Fire
• Natural calamities
• Acts of God
• Terrorism
• Civil disturbance
• Theft
• Burglary
• Vandalism
• Riots
• Government actions
• Events beyond the reasonable control of the Owner

Occupiers are advised to maintain comprehensive insurance coverage for their goods. Cohlee strongly recommends that all Clients obtain appropriate goods-in-storage and goods-in-transit insurance.

14A. Value-Added Services Disclaimer

Packaging, repackaging, labelling, barcoding, quality inspection, product photography and other value-added services shall be carried out strictly in accordance with the customer's written instructions.

Cohlee Storage & 3PL Services shall exercise reasonable care while providing these services but shall not be liable for losses arising from incorrect specifications, inaccurate information or instructions provided by the customer.

Any claim relating to value-added services must be notified within the period specified in the applicable service agreement. All value-added services are chargeable separately unless specifically included in the customer's commercial proposal or service agreement.

15. Payment Terms

Payment terms will be agreed in writing at the time of booking. Storage and service charges are generally payable in advance. Cohlee reserves the right to withhold access to goods or services in the event of non-payment. Late payment may attract interest charges as agreed at the time of booking.

16. Notice Period

Clients wishing to vacate storage space or terminate services must provide reasonable written notice as agreed at the time of booking. In the absence of a specific agreement, a minimum of 30 days' written notice is required. Cohlee reserves the right to charge for the full notice period regardless of when the Client vacates.

17. Services Subject to Availability

All services described are subject to availability at the time of booking. Cohlee does not guarantee the availability of any specific service, unit size or equipment at any given time.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Cohlee's total liability to the Client for any claim arising out of or in connection with these terms or the services provided shall not exceed the total charges paid by the Client in the three months preceding the claim.

19. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Haryana, India.
